谢律师为跨国制药巨头在中国的投资、运营、生产、流通等各个领域提供全方位的专业法律服务。同时，也向客户就医疗行业的投资项目（股权投资、资产收购、战略投资、财务投资）提供法律尽职调查、交易结构设计、交易文件起草在内的法律服务，也就并购后的整合、清算等问题向客户提供意见。此外，谢律师代表跨国公司取得有关药品经营许可资质，收购上市公司下属子企业，对国有产权在产权交易所的招拍挂流程和交易方式也富有经验。

Mr. Xie provides a full range of professional legal services to multinational pharmaceutical giants in various areas of investment, operation, production and distribution in China. Mr. Xie also provides legal services including legal due diligence, transaction structure design, and drafting of transaction documents for investment projects (equity investment, asset acquisition, strategic investment, financial investment) in the healthcare industry, and advises clients on post-merger integration and liquidation issues. In addition, Mr. Xie has represented multinational companies in acquiring relevant drug license qualifications, acquiring subsidiaries of listed companies, and Mr. Xie is also experienced in the process of bidding and auctioning of state-owned property rights on property rights exchanges and transaction methods.

 

最近，谢律师代表客户参与的并购交易包括：（1）就跨国制药巨头诺华与葛兰素史克关于疫苗业务的资产转让在中国区提供法律服务；（2）协助国内知名上市公司收购以色列的一家医疗器械企业；（3）协助国内知名民营公司收购德国的医疗器械项目；（4）协助国内知名上市公司收购美国的两家企业；（5）国内民营企业在印度尼西亚设立生产工厂提供完整法律服务；（6）为客户策划一系列离岸公司的重组并在BVI设立家族信托架构；（7）代表才金资本对国内领先的母婴网站摇篮网进行并购以及拆除红筹架构；（8）弘晖资本投资互联网医疗领先企业Edoctor项目；（9）就唯品会在国内外的一系列收购项目提供完整法律服务，包括安达通、小源科技、乐蜂网等；（10）代表客户收购国内多家民营医药、连锁血透中心、连锁药房。

Recently, Mr. Xie has represented clients in the following M&A transactions, include: (1) providing legal services in China in connection with the asset transfer between multinational pharmaceutical giant Novartis and GlaxoSmithKline regarding the vaccine business; (2) assisting a well-known domestic listed company in acquiring a medical device company in Israel; (3) assisting a well-known domestic private company in acquiring a medical device project in Germany; (4) assisting a well-known domestic listed company in acquiring two companies in the United States (5) provided complete legal services to a domestic private company in setting up a manufacturing plant in Indonesia; (6) planned a series of restructuring of an offshore company and set up a family trust structure in BVI for the client; (7) represented Caijin Capital in the acquisition of a leading domestic mother and baby website Cradle.com and the dismantling of its red-chip structure; (8) investment in Edoctor, a leading Internet medical company, by Hong Hui Capital (9) Providing complete legal services to Vipshop in a series of domestic and international acquisitions, including Andatron, Xiaoyuan Technology, and LeBee; (10) Representing clients in the acquisition of a number of private pharmaceuticals, blood dialysis center chains, and pharmacy chains in China.

 

特别地，谢律师参与了国家卫计委法制司牵头的《医疗健康信息标准与立法研究报告》课题，并承担了政策法规研究部分的主要撰写工作。

In particular, Mr. Xie participated in the topic of “Research Report on Medical and Health Information Standards and Legislation” led by the Legal Department of the National Health Planning Commission, and undertook the main writing work of the policy and regulation research part.

谢律师于2017年加入博京律师事务所。此前，谢律师曾在环球律师事务所上海分所等知名律师事务所执业多年，连续多年获得钱伯斯医药健康领域的最佳排名。

Mr. Xie joined Shanghai Bourgeon Law Firm in 2017. Previously, Mr. Xie practiced for many years at well-known law firms such as Global Law Office’s Shanghai office, where he received the best ranking in Chambers Medicine & Health for many years.

East China University of Political Science and Law (International Economic Law Major), and studied at Houston State University in USA as an exchange student.
