In terms of M&A transactions, regardless of whether the company is an acquirer or a target company, Bourgeon can utilize its rich transaction experience to assist clients in completing the transaction, providing legal services, including market access policy consultation, transaction structuring, commercial negotiation, and drafting and reviewing of transaction documents. As the acquirer’s attorney, Bourgeon can conduct legal due diligence on the target company according to the client’s needs and issue transaction risk alerts for the acquisition project; as the target company’s attorney, Bourgeon can assist the client in cooperating with the acquirer’s due diligence, facilitating the transaction and communicating with the client’s competent authorities in order to complete the relevant filing and registration formalities successfully.

In addition, Bourgeon is one of the drafters of the group standard “Evaluation of the Effectiveness of Compliance Management System for SMEs,” the first domestic compliance system adopting the international 37301 standards formulated by the China Association of Small and Medium Enterprises (CASME), which is expected to be applied in the scenarios of SMEs’ IPO compliance, credit financing, administrative approvals and qualification certification, and so on.
