郁律师主要执业领域为私募股权投融资（包括代表投资基金或目标公司进行私募股权投融资）、公司业务（包括公司治理、公司合规和风险管理、投资并购）、跨境投资（包括外商直接投资和境外直接投资）以及争议解决（包括境内民商事诉讼及仲裁）。

Mr. Yu’s primary practice areas are private equity investment and financing (including private equity investment and financing on behalf of investment funds or target companies), corporate practice (including corporate governance, corporate compliance and risk management, investment, and mergers and acquisitions), cross-border investment (including foreign direct investment and offshore direct investment) and dispute resolution (including domestic civil and commercial litigation and arbitration).

在私募股权投融资领域，郁律师拥有丰富且广泛的经验，代表多家投资基金、处于发展早中期的创业公司及其创始股东及实际控制人处理私募股权投融资事宜。郁律师对各轮次私募股权投融资的市场交易习惯和常见的投资条款非常熟悉，能够在前期谈判、法律尽职调查开展、交易架构设计、交易文件起草、审阅和谈判、项目交割、项目所需的政府审批或备案手续的办理、投后管理、退出纠纷解决等方面提供成熟且全面的法律服务及咨询意见。

In the field of private equity investment and financing practice, Mr. Yu has extensive experience and has represented many investment funds, start-up companies in early and mid-stage development, their founding shareholders and de facto controllers in private equity investment and financing matters. Mr. Yu is familiar with the market practice and standard terms and conditions of all rounds of private equity investment and financing and can provide mature and comprehensive legal services and advice in the areas of pre-negotiation, legal due diligence, transaction structuring, drafting, reviewing, and negotiation of transaction documents, project closing, handling of governmental approvals and filings required for the project, post-investment management, and settlement of disputes on exit.

在公司业务领域，郁律师协助客户在企业设立和运营的整个生命周期提供全方位的法律服务。在公司治理方面：为企业设立、变更、清算等业务提供全程法律支持；起草、审阅及修改客户日常经营业务合同及相关法律文件；协助客户健全各项内部规章制度和协议安排；为客户经营中的法律问题提供顾问支持并协助客户处理争议解决纠纷；就客户重大经营活动的方案设计和商务谈判提供法律支持等。在企业合规和风险管理方面：从法律尽职调查入手，为客户构建合规管理体系；在投资并购方面：为客户提供产业准入政策咨询及与交易相关事项的法律顾问服务；开展法律尽职调查并出具相关风险提示报告；提供涉交易文件的起草、商务谈判以及交易架构设计等配套法律服务；根据客户或监管机构的要求出具法律意见书，为交易提供包含审批、备案、争议解决等全程法律支持。

In the field of corporate practice, Mr. Yu assists clients with a full range of legal services throughout the life cycle of the establishment and operation of the enterprise. In the field of corporate governance: providing full legal support for the establishment, modification, and liquidation of enterprises; drafting, reviewing, and amending contracts and related legal documents for clients’ daily business operations; assisting clients in improving internal rules and regulations and agreement arrangements; providing consultancy support for client’s legal issues in business operations and assisting clients in handling disputes; providing legal support for clients in plan proposing and commercial negotiation in respect of their primary business operations, etc. In the field of corporate compliance and risk management, start with legal due diligence, building compliance management systems for clients; In the field of investment and M&A, providing clients with consultation on industrial access policies and legal advisory services on transaction-related matters; carrying out legal due diligence and issuing relevant risk alert reports; providing supporting legal services such as the drafting of transaction-related documents, commercial negotiation, and the design of transaction structures; and issuing legal opinions in accordance with requests from clients or regulatory authorities; issuing legal opinions according to the requirements of clients or regulatory authorities, and providing legal support for the whole process of the transaction, including approval, filing, and dispute resolution.
